These Terms of Service ("Terms") govern the use of the HR consultancy services provided by flipHR ("we," "us," or "our") to clients ("you" or "your"). By engaging our services, you agree to these Terms.

1. Services

We provide HR consultancy services to assist businesses in various aspects of human resource management. These services may include but are not limited to:

• Recruitment and selection

• Employee relations

• Performance management

• Training and development

• Compliance with employment laws and regulations

The specific services provided will be outlined in a separate agreement between you and us.

2. Client Obligations

As a client, you agree to:

• Provide accurate and complete information necessary for us to provide our services effectively

• Comply with any obligations outlined in the agreement between you and us

• Pay the agreed-upon fees for the services provided in a timely manner

3. Confidentiality

We will treat all information provided by you as confidential and will not disclose it to third parties except as required to provide our services or as permitted by law.

4. Intellectual Property

Any materials or intellectual property developed or provided by us in the course of providing our services remain our property unless otherwise agreed in writing. You may only use such materials for the purposes outlined in the agreement between you and us.

5. Limitation of Liability

To the extent permitted by law, we will not be liable for any loss or damage arising from the use of our services or reliance on any advice or information provided by us.

6. Termination

Either party may terminate the agreement between you and us by providing written notice to the other party. Upon termination, you must pay any outstanding fees for services provided up to the date of termination.

7. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

8. Amendments

We may amend these Terms from time to time by providing notice to you. Your continued use of our services after such amendments will constitute acceptance of the updated Terms.

9. Entire Agreement

These Terms constitute the entire agreement between you and us regarding the use of our services and supersede any prior agreements or understandings, whether written or oral.
